1. Acceptance of Terms
By accessing and using the Infanji Technologies website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this website or our services.
2. Services Description
Infanji Technologies Private Limited provides:
- Synergy Wing: Enterprise-grade digital engineering services including infrastructure design, development, and integration
- R&I Wing: Research and innovation services along with proprietary platforms (Infaverse, NATALIE, Velarics)
- Consulting: Technical consulting and advisory services
Specific services are provided according to individual project agreements and statements of work.
3. User Obligations
By using our services, you agree to:
- Provide accurate and complete information when requested
- Use our services only for lawful purposes and in accordance with these terms
- Not attempt to gain unauthorized access to our systems or data
- Not interfere with or disrupt our services or servers
- Not transmit any harmful code, viruses, or malicious content
- Respect intellectual property rights associated with our platforms
4. Intellectual Property
All content, materials, and intellectual property on this website, including but not limited to text, graphics, logos, images, software, platform designs, and documentation, are the property of Infanji Technologies or its licensors and are protected by applicable intellectual property laws.
- Our Property: Infaverse, NATALIE, Velarics, and all related technologies are proprietary to Infanji
- License: Use of our platforms is subject to separate licensing agreements
- Restrictions: You may not copy, modify, distribute, or create derivative works without written consent
Client-provided materials and data remain the property of the client.
5. Project Engagements
For project-based engagements:
- Agreements: All projects are governed by separate Master Service Agreements (MSA) and Statements of Work (SOW)
- Scope: Project scope, timelines, and deliverables are defined in project-specific documentation
- Changes: Changes to project scope require mutual written agreement and may affect timelines and costs
- Payment: Payment terms are as specified in individual project agreements
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of business. This obligation survives the termination of any agreement between the parties.
Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.
7. Warranties and Disclaimers
Our Warranties:
- We warrant that our services will be performed with reasonable skill and care
- We warrant that we have the right to provide the services contracted
- Platform services are warranted to perform substantially as documented
Disclaimers:
- Services are provided "as is" without warranties beyond those specified
- We do not warrant uninterrupted or error-free operation of our platforms
- Client implementations and customizations are subject to separate warranty terms
8. Limitation of Liability
To the maximum extent permitted by law, Infanji Technologies shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from force majeure events
- Client's failure to implement adequate data backups or security measures
Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless Infanji Technologies, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your violation of these terms
- Your misuse of our services or platforms
- Claims that your content or materials infringe third-party rights
10. Termination
Either party may terminate services in accordance with the terms specified in individual agreements. Upon termination:
- All outstanding payments become immediately due
- Each party returns or destroys confidential information of the other
- Licenses to our platforms terminate unless otherwise specified
- Surviving provisions include intellectual property, confidentiality, and liability limitations
11. Governing Law
These terms and any disputes arising from them shall be governed by and construed in accordance with the laws of India, specifically the laws of Tamil Nadu. Any legal proceedings shall be conducted in the courts of Coimbatore, Tamil Nadu.
12. Dispute Resolution
Before initiating any legal proceedings, parties agree to attempt resolution through good-faith negotiations. If disputes cannot be resolved within 30 days, either party may pursue legal remedies through appropriate courts.
13. Modifications
We reserve the right to modify these terms at any time. Material changes will be communicated through updates on this page. Continued use of our services after such modifications constitutes acceptance of the updated terms.
14. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
